Responsible, under the supervision of the Team Leader, of its team of legal matters affecting local and international clients within the team portfolio, business entities in relation to financial planning, responsible for maintaining the company’s registers. Preparation and organization of board and shareholders’ meetings, the corresponding minutes and/or deeds, reporting to the appropriate authorities, review and preparation of corporate legal documents such as capital increases, incorporations, distribution of dividends, liquidations and other company restructuring processes.

Day-to-day assistance and coordination of the local company as the client’s local representative, ensuring the entity’s good standing in accordance with local requirements in liaison with the authorities and client’s local advisers (tax, legal, and accounting)

  • Responsible for the maintenance of her/his client’s accounts.
  • Distributes the workload between the accounting officers. Reviews the work they perform.
  • Main day-to-day contact for most clients, except for those that require a higher job band contact.
  • Handles and coordinates all necessary contacts and/or transactions regarding documents related to the client company, such as contracts, notary, banking, company documents, etc.
  • Performs a variety of activities for the corporate maintenance of the client company; establishes directly or through Legal officers in his team and updates registers and official documents, such as deeds, contracts, certificates, tax registration etc…
  • Establishes and coordinates the incorporation of companies and/or shelf companies; assists with invoicing, handing over company file.
  • Responds to inquiries regarding financial, legal and/or fiscal transactions by the client and/or accountants.
  • Researches and resolves problems of the clients.
  • Assists Team Leader with day to day work and supervise/review Legal officers work.
  • Responsible for Debt collection for his/her client portfolio.
  • Ensures clients are in good standing at all times and reports to supervisor if it´s not the case, including the Compliance requirements at TMF.
  • Assists in the opening and closing of bank accounts for the clients, and e-banking coordination.
  • Prepares or coordinates the preparation of different forms and other documents such us D4, D8, D5, D1, Bank of Spain report, AACC notes, PoA, minutes, deeds review, Digital certificate request, Electronic mailbox request, Foreign ID number request and 030 form, 036 form, 600 form, 840, form and other communication to be filed within the Tax authorities
  • Ensures that appropriate responses and actions related his/her clients are taken with respect to request of information from the Public Administrations (Tax Authorities, Bank of Spain, Ministry of Industry, others).
  • Controls the invoice procedure regarding the different clients and assuring that time writing is correctly recorded.
  • Any other necessary task to complete the team’s output to be reviewed and provided to third parties.



  • At least 3 years of experience in a similar role.
  • Experience in Corporate Law (derecho mercantil).
  • Degree in Law.
  • Strives for high standards of delivery to clients.
  • Will generate ideas for improvement based on past experience.
  • Understands personal development areas and is driven to 'bridge' gaps.
  • Will ask relevant questions to improve business awareness/ knowledge
  • Individuals will work under direct supervision and work will be reviewed.
  • Is aware of client contracts and what is W.I.P./ 'out of scope'
  • General understanding of the different local obligations of Spanish companies and of TMF internal procedures and policies.
