Job purpose

The Legal Counsel is responsible for overseeing all aspects of TMF Group’s legal and compliance matters in the relevant market as part of the second line of defense. The Governance Market Leader is responsible for managing the legal and compliance team (if any) in the relevant market and overseeing their day-to-day administrative and operational activities.

Key responsibilities

As legal counsel for the market:

  • Manage all legal issues in the market;
  • Identify any regulatory or legislative changes with an impact on local activities, report on the implications of these to the Group Legal Director and to the Market Leader and ensure these implications are properly managed;
  • Ensure communications and training support relating to Group Governance matters is adequately provided to the business lines in the relevant jurisdictions as required;
  • Drive the assessment, remediation and reporting on regulatory and legislative risks and local level frameworks and support with risk management advice;
  • Assist in development and maintenance of TMF Group policies and minimum global standards;
  • Oversee data privacy leads;
  • Oversee local legal advisory, review all legal agreements – NDAs, procurement, data privacy, lease agreements, etc;
  • Manage local client contracting (LSAs);
  • Manage litigations in close consultation with Group Legal;
  • Coordinate the resolution of employment law matters;
  • Manage the corporate secretarial work for TMF Group entities (e.g. local legal entities).

As Governance Market Leader:

  • Lead and manage all governance resources in the market, which includes legal (including data privacy leads) and compliance staff members.
  • Represent Group Governance as a member of the market management team.
  • Report to the Group Legal Director on legal and compliance matters that impact the market such as client complaints, errors resulting in potential loss, insurance notifications, disputes and litigation, regulatory change and compliance/regulatory issues.
  • Participate in the Group Governance meetings and escalate governance market matters to the relevant Group Governance member.
  • Communicating messages from Group Governance to the legal (including data privacy leads) and compliance staff members in the relevant market.

Core competencies &Knowledge

  • Be recognised internally & externally as a Subject Matter Expert (SME) in a specialist area such as contracting, litigation or data privacy;
  • Is knowledgeable on the day-to-day activities of the business of the market;
  • Will keep up to date with business trends/changes in law that will impact the role and where appropriate turning it into a policy;
  • Identifies and promotes opportunities to share best-practices.

Commercial Awareness / Financial accountability

  • Understands fully TMF Group’s global and local solutions, regulatory and legislative requirements and how the organization is structured;
  • Will cascade control, risk and governance frameworks in the Market;
  • Can articulate and demonstrate the impact (financial, etc.) of the role and activities on the Market.

People Management

  • Coaches, develops and effectively manages performance of the legal (including data privacy leads) and compliance staff members.
  • Delegates work across direct reports as appropriate;
  • Supports the up-skilling of the market through sharing of knowledge, best practices and coaching;
  • Ensures the business is appropriately staffed to meet legal and compliance demands in a responsive and efficient manner;
  • Understands what motivates individuals and uses this awareness to successfully drive individual and governance market team performance.

  • Engages and builds credibility with influential individuals both externally and internally;
  • Is mindful of cultural differences across a diverse organization;
  • Is highly articulate and able to communicate complex ideas in a simple, easy-to-understand manner;

Technical skills /Job Specific skills/Professional Qualifications

  • Master’s degree or Degree in law
  • 5 to 8 years relevant working experience, with a background in legal or compliance, and preferably also relevant working experience in the corporate services industry;
  • Up-to-date knowledge on a subject matter, with capital market expertise being a plus;
  • Excellent English written and verbal communication skills.
