We are looking for a Corporate Services Paralegal to join our team 

 

Job Purpose:

The Corporate Services Paralegal will assist with the internal management of client files from a legal/corporate compliance perspective in coordination with the department Manager.  In this capacity the Paralegal will draft resolutions, bylaws, POA’s, and minutes as well as monitor completeness of client files by checking regularly on-going tasks and filing requirements. The Paralegal will also assist with incorporations and corporate filings on behalf of client companies as well as visa preparation. Overall, will assist Manager with the execution of all necessary tasks to have client’s maintain legal compliance. 

 

Key Responsibilities:

§ Provide Corporate Secretarial services to local Client Entities including, but not limited to Incorporation, Corporate Restructuring, and Governance requirements (across the U.S.)
§ Ensure all Client Entities remain in good standing and qualified to do business in their respective domestic and foreign jurisdiction(s).
§ Facilitate document retrieval including apostille and legalization of documents.
§ Maintain and update database for legal entities including Directors and Officers, reporting requirements and addresses.
§ Ensure corporate books are up-to-date and documents maintained correctly.

§ Maintain and track compliance deadlines, communicating with Client’s to ensure reporting deadlines are met.

 

Key Competencies:

§ Knowledge of various legal and compliance topics, focus on entity registrations across the U.S.
§ Experience in the corporate area (incorporation, amendments and liquidation of companies), contracts and compliance;
§ Leadership, team supervision, communication skills, conflict management, working well in teams, ability to influence;
§ Client services oriented with the ability to manage and meet client expectations;
§ Hands on, proactive, organized, committed, and knows how to handle large workload.

Key knowledge and experience:

§ Experience with U.S. corporate law;
§ Superior written and oral communication skills in English.
§ Proficiency in Microsoft Word, Excel, PowerPoint and SharePoint.
§ Knowledge of database tools and ability to maintain information in database format.
§ Experience supporting senior management and geographically dispersed clients.
§ Excellent strategic and organizational skills, with the ability to follow through on numerous projects
simultaneously under short deadlines.
§ Requires a minimum of 3 years of experience in a corporate legal department, law firm or corporate environment.
§ Ability to handle sensitive and confidential information appropriately.
