Currently we are searching for a Company Secretary to support our Channel Islands Fund Administration team from Poland. If you're looking to work in an international environment and also to acquire new knowledge, we will support you in achieving greater heights! 

For the right candidate our team and company will provide effective training workshops so that you can independently support our business in the Channel Islands from Poland.  

 

Job Purpose

Playing a key role in a busy Fund Administration team providing Company Secretarial services for a number of clients. This role will be a highly visible one within the business so the ability to communicate successfully with both external Board members, clients, and internal stakeholders is vital to the role.

 

Key Responsibilities

  • Formulate Board / Shareholder meeting agendas.
  • Preparation of Board Pack using Virtual Boardroom.
  • Board / Shareholder meeting attendance / Board communication.
  • Ad hoc Board / Shareholders / Managers / unit holder committee – Minute taking / drafting /circulation / approval / filing.
  • Drafting of Board / Shareholders minutes and written resolutions.
  • Dealing with audit and AGM waivers.
  • Statutory register validation / sign off.
  • Annual returns validations.
  • Undertake company liquidation / dissolution process.
  • Declarations of Trust.
  • Stock transfer from validation.
  • Declaration of dividends.
  • Certify true copy requests / Director CDD requests as applicable.
  • Ensure all statutory and regulatory requirements are compiled with.
  • Participate in the creation and maintenance of Limited Partnerships and Companies.
  • Statutory registers for members, directors and secretary validation.
  • Ensure all statutory returns, filings and notifications are made at the appropriate time.
  • Follow up on Board (or other) meeting action points.
  • Support execution of client specific procedures and controls.
  • Assist / support the management of existing client relationships.
  • Support the performance management process.
  • Work within client Service Level Agreements.
  • Ensure systems are fully and accurately populated in relation to entities worked on.
  • Ensure costs related to ad-hoc and bespoke client work are identified and captured.

 

Key Requirements:

  • Fluent level of English
  • Good communication skills both oral and written.
  • Adaptability, Interpersonal skills and a team orientated attitude.
  • Knowledge of legal, regulatory and industry requirements.
  • Knowledge of business processes, standards, policies and procedures.
  • Decent technical financial services knowledge.
  • Hands on approach with the ability to work under pressure in order to meet deadlines, both individually and as part of a team.
  • Ideally obtained ICSA Diploma in Offshore Finance Administration, Certificate in International Financial Administration, or has achieved part-qualified status.
  • Ideally obtained a qualification to the Company Secretarial / administration of Private Equity Funds as well as Trusts and Companies.
