SENIOR LEGAL COUNSEL – Capital Markets

Reporting to the TMF New York Managing Director , the successful candidate will be a member of Capital Market’s local management team and will have oversight of transactions undertaken across the group.

 

RESPONSIBILITIES:


The Senior Legal Counsel – Capital Markets will be based in New York and lead both the New York office legal function and the Capital Markets’ (CM) local legal function. Responsibilities will include:

A. Maintain internal guidelines for CM business lines, (administrative, agent, SPV and trustee) including standards for legal documentation; manage groupwide forms for proposals and service agreements.

B. Hold monthly meetings of the global CM legal team to discuss notable transactions, legal developments and issues, as well as support, marketing needs and use of external counsel.

C. Provide an escalation point and forum for issues and concerns; interface with TMF Group Legal on relevant matters.

D. Attend and report to monthly CM group management meetings.

E. Serve as counsel to TMF Group New York, LLC (TMF) and Lord Securities Corporation (LSC) in connection with transactions, inquiries, KYC compliance and litigation involving TMF or LSC. Manage a New York based team of paralegals working on local transactions.

F. Attend internal and external calls as a subject matter expert.

G. Assist with new business opportunities, annual audits, independent directorships and inquiries from other TMF offices.

H. Work with internal risk/audit teams to streamline deal onboarding and administration, including regarding closing and signoff procedures, default and restructuring administration and litigation;

I. Keep track of new and ongoing market developments and anticipated changes in legislation of relevance to the CM business; and

J. Write articles and assist with panels and business development meetings; attend conferences and meetings as needed.

KEY REQUIREMENTS:

  • NY qualified attorney.
  • 8+ years’ experience gained in the capital markets group (or equivalent) of an international law firm, or in-house at a leading provider of corporate trust and agency services.
  • Excellent understanding of capital markets products, including unsecured/secured syndicated loans, bond issues, defaults and restructuring, securitized products, project finance, aviation finance, SPV structures, Euroclear/DTC rules, tax issues, documentation standards and risk issues.
  • Experience managing a multi jurisdictional team.
  • Drafting, research and communication skills.
  • Commercially focused approach with the ability to multi-task across competing demands.
