Purpose of the Role

Support the internal legal team of the company in advising the operational business teams in North Latam on all legal matters and transactions. Support the negotiation of local contracting (customers and suppliers), as well as all associated legal administrative tasks. Support in the management of the corporate affairs of TMF entities in North Latam.  In addition, supporting and working with colleagues ensuring efficient, professional and high-quality customer service in a precise and punctual manner.

Key Responsibilities

  • Responsible for the accurate, complete and timely support of all CoSec of TMF entities in North Latam.
  • Responsible for meeting the deadlines indicated for filings for TMF entities in North Latam before any governmental entity (corporate filings before the Chamber of Commerce and any other associated registry (RUT, RIT, etc.), including renewal of mercantile registry and reports before the Superintendency of Companies).
  • Support in (complex) contract negotiations assuring compliance with company policies related to contracting.
  • Performing core tasks in compliance with company legislation, data protection and risk control within the company internal legal function.
  • Maintains relevant databases and other tracking tools updated as required.
  • Support in advising the HR team when necessary (labor and migration matters) and any other internal stakeholders who may need legal advice.
  • Assist in the response of any requirement made by any governmental entity.
  • Assist the Legal Counsel in the corporate maintenance of the group (general assembly meetings, approval of financial statements and any other corporate documentation or meeting related/necessary)
  • Assist in the remediation of legacy contracts/clients.
  • Provide assistance in the drafting of NDAs, amendments, proxies, assignment, amongst others legal documents.
  • Physical and digital archiving of documentation.
  • Internal support on contractual issues for clients, as requested.
  • Keeps up to date with changes in local company legislation.
  • Participates in projects when requested.
  • Provides administrative support to the company secretarial team when necessary. Attend TMF’s board meetings when necessary.
  • Perform any other duties reasonably expected for the position.

Key Quialifications

  • Experience in a high-volume, fast-paced law firm and in a company in-house role preferred.
  • Detailed knowledge of basic company secretarial and annual operations.
  • Experience in contract negotiation.
  • Experience in secretariat corporate maintenance.
  • Proactive, independent and with good problem-solving skills.
  • Ability to express yourself and communicate with clients in a concise and professional manner.
  • Mastery of English is essential.
