DISCOVER THE ROLE
The role is responsible for overseeing the setup and transaction services provided to Special Purpose Vehicles (SPVs) within the Capital Markets Services Transaction team. The primary objective is to ensure that TMF’s SPV clients receive an efficient, professional, and high-quality service that meets all statutory obligations. This includes managing the full transaction lifecycle, from inception to closure, while allocating work within the Transaction Services team. The role also entails overseeing the accurate on-boarding of SPVs, ensuring timely and efficient delivery of corporate administrative services, and maintaining the highest standards of compliance and client satisfaction.
KEY RESPONSIBILITIES
Oversee successful execution of all end-to-end SPV transaction services for TMF’s clients, ensuring setups are completed in a timely and accurate manner in line with the Companies Act 2014.
Coordinate activities with other teams in TMF Group, including but not limited to, the Entity Management team and Client Accounting team.
Oversee the continuous handover of new entities from the Transaction Services team into the Entity Management team.
Build strong relationships with clients whilst enhancing TMF’s strong reputation in the Capital Markets transaction services with tax advisors, banks, custodians, lawyers and other key partners.
Allocate and manage the workload of juniors, assigning or re-assigning tasks to them and monitor day to day progress of delivery using available means to ensure work is delivered on time.
Work with the Transaction Review team to document and monitor statutory and transaction obligations for the SPVs transaction.
Adhere to TMF internal procedures and ensure compliance by the team with TMF’s Risk and Control framework and processes.
Maintain a focus on continuous improvement in the team, challenging the status quo.
Ensure the team’s outputs are approved by clients before execution and filing.
Ensure TMF meets our obligations to clients, providing all SPV corporate services needed to effectively close a transaction within required timelines.
Oversee completion of all activities required in relation to the transaction services including, set-up, transaction closings etc. and ensuring maintenance of relevant documentation and processes to enable tasks to be appropriately allocated across the team, including filings, tax registrations and classifications.
Support the Team Leads in maintaining, reviewing and improving internal controls and policies, including providing support and/or taking ownership of projects/team improvements and communications.
KEY REQUIREMENTS
A degree in Law, Business or a closely related field is desirable.
A candidate with a minimum 3 years of related work experience is preferred.
A candidate with an ICSA qualification/part qualified is an advantage.
Previous hands-on experience in a corporate services provider, legal, compliance, company secretarial department or with capital markets experience is desirable.
Prior supervisory experience is preferred.
Experience with structured finance, aircraft leasing transactions is a strong advantage.
Resourceful, independent and strong problem-solving abilities.
Excellent written and communication skills, with strong ability to plan ahead and organise themselves and others.
Analytical structured mind set with ability to follow and build upon existing processes and ensure data is maintained with accuracy and consistency.
Fluency in English is essential, with knowledge of other languages an advantage.
Proficiency in MS Excel and MS Word is essential, with experience of Blueprint preferred.
Experience in an outsourcing firm with strong client servicing skills is preferred.
