Job purpose
We are looking for a Legal Counsel specialized in IT Law to expand our IT Legal and Procurement team of experts. An ideal candidate will be passionate about handling various IT legal matters in their broadest sense. You will balance and align the vendor contracts with the company policies and the applicable laws whilst correctly include the demands from the service lines. You will reliably and independently deliver pragmatic, business-oriented legal advice and guidance to the relevant stakeholders on queries related to IT law. You will be responsible to prepare, draft, review and revise requests for proposals, guide the Client Contracting Team with queries related to TMF Group technology offerings, project agreements, general terms & conditions, non-disclosure and other type of vendor agreements.
You will be part of the Procurement and Group Legal team residing within Group Legal, which works closely with the Operations & Technology, Finance and Marketing departments. The Procurement and Group Legal team strategically advises on a broad range of topics relevant for the entire group of companies globally. These topics include TMF Group technology, contract law, IP and IT law, service level agreements, data processing agreements, corporate brand queries, regulatory matters, internal policies and other related topics. You will directly report to the Head of Procurement & Real Estate and the Head of Legal - Corporate, based out of Amsterdam, the Netherlands.
Key responsibilities
Draft, review and negotiate agreements related to purchase of IT services and technology, IT hardware products, software development, lease and license agreements;
Draft, review and negotiate data processing agreements connected to the purchase agreements;
Review and revise sourcing documentation, contract proposals and provide legal advice to procuring departments in the best interest of TMF Group;
Advise O&T and Client Contracting Team with queries related to TMF Group technology offerings, project agreements, general terms & conditions, non-disclosure and other type of (IT) agreements;
Closely cooperate with O&T department and colleagues from other corporate group functions, our global vendors, advisors or law firms, ensuring adherence to the company policies, and at the same time securing commercially favourable position for TMF Group, in line with the applicable laws;
Provide practical guidance and create awareness on legal developments, IT law and data protection related topics, including providing trainings on the relevant legal topics from time-to-time;
Review vendor assessments from a legal and data protection compliance perspective;
Support with the unit and department projects;
Assist on any other (IT) legal matters, as occasionally may be required from time-to-time.
Key requirements
Ideally four to seven years of specialist working experience in the relevant field, preferably in an international and corporate environment with IT, working on IT related topics, data protection, IT procurement contracting and related IT procurement and commercial matters.
University degree in law (LL.M), and experience within either a renowned law firm, or as an in-house legal counsel or a legal consultant in the field of IT.
Excellent practical knowledge of the GDPR, and other laws, regulations and standards related to data protection and information security.
Self-sufficient, ability to multitask and prioritize tasks, work productively, accurately and with attention to detail.
Highly motivated, business oriented and pragmatic legal professional.
Team-player that seeks to partner with stakeholders across the business and is not afraid to step-outside of their comfort zone.
Proven organizational, analytical, follow-through and standardization skills.
Excellent and clear communication, negotiation and interpersonal skills to establish and maintain effective cross-functional working relationships, customer centrism, consulting skills and service-solution-oriented mindset.
Able to influence senior stakeholders and company management.
The ability to analyze, provide expert legal advice and solutions on various IT matters.
Professional discretion and confidentiality.
Excellent written and verbal communication skills in English.
Excellent knowledge of Microsoft Office.
