Job Purpose:

The Corporate Secretarial Senior Executive/Executive assists in handling a portfolio of incorporated companies and ensures that all company secretarial matters of clients are handled. Provide Corporate Secretarial advisory and support to clients, responsible to monitor and ensure compliance with the regulatory bodies under a particular jurisdiction.

 
 
Job Responsibilities:
  • Assist in providing company secretarial services to a range of clients.
  • Support the senior in maintaining good client relationship.
  • Handle full set of company secretarial documents.
  • Oversee issuing of invoices and following up on payments.
  • Incorporation of local companies as and when requested by clients.
  • Prepare and arrange statutory forms for filing. Ensure proper and timely filling of various statutory documents in compliance with local company law, the statutory requirements and other regulatory bodies under a particular jurisdiction.
  • General filing of documents and statutory books. Responsible for safekeeping and maintaining register.
  • Perform and review client's KYC.
  • Handling company share transactions such as issuing new share certificates and arranging stamping of share transfer forms.
  • Update and maintain records/information in ViewPoint. Ensures data integrity in VP, and ensure team members comply to data convention in areas relevant to the team.
  • Ensure filing deadlines are met.
  • To perform all necessary compliance, company secretarial and administrative duties as and when required by the Corporate Director and Head, Legal & Compliance.
  • Completes time sheets in an accurate and timely manner.
  • Perform other duties as assigned.
 
Key requirements:
  • Minimum Bachelor's Degree, Professional Certificate in Law or equivalent, and finalist of ICSA preferred,
  • Minimum 3 to 5 years relevant working experience gained in professional firm / law firm / CPA firm,
  • Good knowledge of corporate secretarial practices and be familiar with Companies Act and regulations of regulated bodies,
  • Good computer skills (Words, Excel, Power point etc.) with experience/knowledge in ViewPoint system as an advantage,
  • Attentive to details with a high degree of accuracy,
  • Good business writing and communication skills,
  • Good command of both spoken and written English, proficiency in Mandarin/Cantonese as an advantage,
  • Independent and able to work under pressure,
  • Able to follow defined processes.
