Cosec Duties and Responsibilities:

  • Responsible for accurate, complete and timely processing of annual compliance
  • Responsible for meeting the indicated deadlines for each allocated client task
  • Completing tasks in compliance with company policies relating to company secretarial requirements consistently and in full for each annual compliance deliverable
  • Performing basic tasks in compliance with company legislation, data protection and control risk within company secretarial function
  • Uses TMF's company secretarial software effectively
  • Maintains relevant databases, client records and other tracking tools as required
  • Perform basic standard defined tasks to on-board new clients
  • Keeps up to date with changes in local company legislation
  • Participates in projects when required to do so
  • Provides administrative support to the company secretarial team as required
  • Attends client meetings as required
  • To undertake any other duties as reasonably expected for the role

 

Specific Funds Administrative Responsibilities:

  • Drafting supporting documents to record transactions with respect to the funds 
  • Drafting and reviewing board minutes and attending those meetings and taking notes wherever applicable
  • Managing the signing process and the relationship with the key point of contacts of our clients to get docs executed on time
  • Assistance with compliance policies and procedures
  • Carry out corporate filings for various legal entity types in the UK in a timely manner
  • Assist with keeping corporate records up to date (filing of documents on One Drive, ViewPoint & Diligent Entities)
  • Assist on audit queries on a yearly basis i.e. to provide the minutes and resolutions etc. for that period to the auditors 
  • Maintaining & updating the tracker for invoices for each quarter
  • Reviewing & Approving Invoices on DAX
  • Forwarding/handling of all the correspondences of the clients in the UK Funds portfolio

 

Skill required:

  • Some experience in a fast paced, high volume company secretarial position preferable
  • Experiences in REIT & Private Equity are desirable
  • A detailed knowledge of basic company secretarial transactions and annual compliance
  • Resourceful, independent and strong problem-solving abilities
  • Able to articulate and communicate with clients in a concise and professional manner
  • Fluency in English is essential
  • Excellent drafting skills preferable
  • Knowledge of the Companies Act 2006
  • Knowledge of The Economic Crime and Corporate Transparency Act (“ECCT”) that received royal assent on 26 October 2023 that are being implemented in stages ; knowledge of the Corporate Transparency and Companies House reforms.
  • Knowledge of the accounting and statutory reporting requirements of limited companies, LLPs & LPs
  • Knowledge of LLPs and LPs
  • Funds experience would be beneficial: understanding how funds work i.e. able to go through transaction documents and further understand how the funds flow chart work
