Job Purpose

Manages end-to-end dealings with clients needed to support successful and efficient setup of SPVs and closing of ongoing Capital Markets Services transactions (¨CMS Transactions¨). Maintains a keen eye on mitigating risk to TMF and its directors arising from CMS Transactions. Ensures TMF’s clients are provided with an efficient, professional and high-quality services which meets all their obligations. Will also act as a client interface for CMS Transactions from inception through to closure, ensuring timely and efficient delivery of corporate administrative services to clients.

Key Responsibilities

  • Build strong relationships with clients and law firms acting as a primary point of contact within TMF for all legal and compliance matters;
  • Keep up to date with regulatory changes that could impact current and future CMS Transactions;
  • Act as a director on a portfolio of SPV entities;
  • Provide corporate administrative expertise and guidance regarding CMS Transactions, acting as a point of escalation both for clients/law firms and within TMF;
  • Scrutinize and comment on suites of transaction documents associated with CMS Transactions to mitigate risks to TMF and the SPV directors;
  • Identify risk issues in relation to CMS Transactions, and ensure full compliance with local regulatory requirements and TMF policies;
  • Works closely with other teams in TMF Group, including but not limited to, the Capital Markets Transactions Services team, the Entity Management team, the Client Accounting team and TMF Directors, in order to achieve client objectives;
  • Ensure TMF meets our obligations to clients, ensuring that all tasks required to effectively close a CMS Transaction within required timelines are completed efficiently, professionally and timeously;
  • Works with the Capital Markets Transactions Services team to ensure administrative activities are completed as planned and in line with Transaction timelines;
  • Drafting of Corporate Services Agreements, Declarations of Trust, Process Agent Letters and other internal TMF documentation;
  • Provide exceptional customer service whilst being decisive, firm and empathetic with customers;
  • Support business development through following ‘Our Service Promise’ delivery guidelines for relationship management and work to build your own and TMF’s network in the industry where you will be dealing with lawyers, tax advisors, banks, custodians, investment managers and other key partners;
  • Identify and act on opportunities for cross-selling and up-selling of TMF Services, or billing for out of scope items;
  • Adhere to TMF internal procedures and ensure compliance by the team with TMF’s
  • Risk and Control framework and processes;

Job Specific Requirements

  • A degree in Law, Business or a closely related field is desirable;
  • Being a qualified solicitor with capital markets experience is essential;
  • A candidate with a minimum 3-5 years PQE;
  • Experience in a legal, compliance or company secretarial department is desired, or alternatively experience at a corporate services provider or within capital markets;
  • Experience dealing with securitisations and/or aircraft leasing transactions is also an advantage;
  • Some people leadership experience would be ideal;
  • Resourceful, independent and strong problem-solving abilities;
  • Excellent written and communication skills, with strong ability to plan ahead and organise themselves and others;
  • Analytical structured mind set with ability to follow and build upon existing processes and ensure data is maintained with accuracy and consistency;
  • Fluency in English is essential
