About the role
The role belongs to Global Entity Management (GEM) team that is responsible for providing word class corporate secretarial services to our clients operating in Saudi Arabia. As the Specialist in our GEM team, you will be accountable for handling legislation related issues, with emphasis on corporate legal/secretarial, entity management and compliance related activities.
Since this is a junior role, you will stand as pivotal team member for complex tasks, ensuring TMF’s clients are provided with efficient, professional, and high-quality services which meet all statutory obligations in Saudi Arabia
Key Responsibilities:
Present and explain Saudi laws and regulations to clients for expanding or starting their business in KSA. Advise on suitable legal forms, required ISIC activities, licenses and additional approvals based on the business practice, alternative corporate solutions, compliance, and requirements.
Manage client’s company incorporation, corporate secretarial and implementation and operations, including company formation, government registration, and additional approvals and licenses.
Supervise our Client Relationship Management team in matters related to incorporation process.
Prepare draft for all required bylaws, resolutions, POA's, and other legal documents in compliance with the applicable laws and regulations; review and supervise all issued government records and bylaws.
Complete standard legal procedures for directorships, shareholders, entity names and registered addresses.
Coordinating with Client Relation Managers in performing the projects, maintaining periodic reports to the clients, and maintaining updated and efficient bookkeeping system.
Conducting the required research on new industries and business lines in KSA to enhance the scope of services provided by TMF enclosing new services, zones, and business fields.
Perform research about new regulations and share the knowledge across teams about MISA regulations, Freezones, Ministry of Commerce etc.
About you
The successful candidate is highly solution-oriented and comfortable with handling front-line interactions. Possesses comprehensive experience in government regulations regarding company structure, foreign investment, company secretary and annual compliance. Integrity, team spirit and strong organizational skills are highly valued attributes.
Ideally you are meeting following hiring criteria:
1-3 years of professional experience in similar positions is desired;
Degree in Law is preferred;
Excellent English & Arabic communication skills are essential;
Proactive solution driven attitude and excellent client-focused mindset are essential;
Knowledge of government laws and regulations in Saudi Arabia would be considered as a great advantage;
Ability to communicate and interact well with clients, external stakeholders, business partners and colleagues;
Previous experience in multinational and/or service company is an advantage.
