JOB PURPOSE
The Corporate Compliance Officer – Corporate Secretarial and Research assists Senior Compliance Officers and Manager in providing professional services on corporate secretarial, compliance, and research matters for a portfolio of local and international clients.
KEY RESPONSIBILITIES
Assists the department in providing company secretarial and statutory compliance to a range of non-listed client companies;
Coordinates and attends board meetings and prepares board and stockholders meeting materials;
Maintains and updates company secretarial records, key corporate documents, etc.;
Maintains shareholder records and provides stock transfer services to non-listed client companies;
Handles full set of company secretarial documents;
Communicates with clients independently;
Issues invoices and follow up on payment;
In-charge of incorporation of companies as and when requested by clients;
Prepares and arranges statutory forms for filing;
General filing of documents and statutory books;
Redirect clients’ mails;
Update and maintain records/information in ViewPoint;
Perform other duties as assigned.
KEY REQUIREMENTS
Bachelor of Science Degree holder or equivalent.
Minimum of 3 years relevant experience related to corporate secretarial functions and dealings with government agencies such as SEC, BIR, DOLE, Immigration etc.
Good knowledge of corporate secretarial law and familiar with Companies Ordinance, rules and regulations of regulatory bodies;
Good computer skills with experience/knowledge in Viewpoint system as an advantage;
Attention to detail with a high degree of accuracy;
Good command of both spoken and written English and Filipino;
Independent and able to work under pressure.
