JOB PURPOSE
The Senior Corporate Compliance Officer – Corporate Secretarial and Research assists the Manager in providing professional services on corporate secretarial matters for a portfolio of local and international clients, including incorporating and managing corporate structures.
KEY RESPONSIBILITIES
Assists the Department in providing company secretarial services to a range of non-listed client companies;
Handles full set of company secretarial documents;
Communicates with clients independently;
Drafts and issues invoices, follows up debts;
Monitors the renewal of license fees for clients’ companies;
Prepares resolutions and correspondence to clients for review by manager, if necessary;
Arranges funds transfer for clients’ companies and liaise with bankers ensuring payments are effected on a timely basis;
Maintains statutory records for clients’ companies;
Acts as Director/nominee Directors for the local office and/or clients that may assume certain level of responsibilities and risks
Updates and maintains records/information in ViewPoint;
Perform other duties assigned.
KEY REQUIREMENTS
Bachelor of Science Degree holder or equivalent;
Minimum 4 years relevant experience gained in professional firm/ CPA firm/law firm;
Relevant experience related to corporate secretarial functions and dealings with government agencies such as SEC, BIR, DOLE, Immigration etc.
With sufficient experience in PEZA, FDA, and IPO
Good knowledge of corporate secretarial law and familiar with Companies Ordinance, rules and regulations of regulatory bodies;
Good computer skills with experience/knowledge in Viewpoint system as an advantage;
Attention to detail with a high degree of accuracy;
Good command of both spoken and written English and Filipino;
Independent and able to work under pressure.
