JOB PURPOSE

The Corporate Compliance Officer – Corporate Secretarial and Research assists Senior Compliance Officers and Manager in providing professional services on corporate secretarial, compliance, and research matters for a portfolio of local and international clients.

KEY RESPONSIBILITIES 

  • Assists the department in providing company secretarial and statutory compliance to a range of non-listed client companies;
  • Coordinates and attends board meetings and prepares board and stockholders meeting materials;
  • Maintains and updates company secretarial records, key corporate documents, etc.;
  • Maintains shareholder records and provides stock transfer services to non-listed client companies;
  • Handles full set of company secretarial documents;
  • Communicates with clients independently;
  • Issues invoices and follow up on payment;
  • In-charge of incorporation of companies as and when requested by clients;
  • Prepares and arranges statutory forms for filing;
  • General filing of documents and statutory books;
  • Redirect clients’ mails;
  • Update and maintain records/information in ViewPoint;
  • Perform other duties as assigned.

 

 

KEY REQUIREMENTS

 

  • Bachelor of Science Degree holder or equivalent.
  • Minimum of 3 years relevant experience related to corporate secretarial functions and dealings with government agencies such as SEC, BIR, DOLE, Immigration etc.
  • Good knowledge of corporate secretarial law and familiar with Companies Ordinance, rules and regulations of regulatory bodies;
  • Good computer skills with experience/knowledge in Viewpoint system as an advantage;
  • Attention to detail with a high degree of accuracy;
  • Good command of both spoken and written English and Filipino;
  • Independent and able to work under pressure.
